All services are delivered based on mutually agreed proposals, contracts, emails, or documented scopes of work.
3. Client Responsibilities
Clients agree to provide accurate information, timely approvals, required access, and necessary resources to enable smooth project execution. Any delays caused due to client-side dependencies are not the responsibility of ThinkSuite.
4. Project Execution & Deliverables
Deliverables are provided strictly as per agreed scope and timelines. Any additional changes, revisions, or feature requests beyond the original scope may require additional charges and revised timelines.
5. Payments & Billing
Payments must be made according to the agreed milestones or invoices. Late or failed payments may result in suspension or termination of services.
All payments are non-refundable unless explicitly stated otherwise in a written agreement.
6. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property including designs, source code, AI models, frameworks, documentation, and creative assets remain the property of ThinkSuite.
Clients are granted a limited, non-transferable license to use the deliverables solely for their intended business purpose.
7. Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary, technical, business, and financial information shared during the engagement.
8. Data Protection & Privacy
ThinkSuite follows reasonable security practices to protect client and user data. Any personal or business data shared is used solely for service delivery purposes.
9. Third-Party Services
ThinkSuite may use third-party tools, platforms, or APIs. We are not responsible for the availability, changes, or failures of third-party services.
10. Limitation of Liability
ThinkSuite shall not be liable for any indirect, incidental, or consequential damages including loss of revenue, data, or business opportunities.
Our total liability, if any, shall not exceed the amount paid by the client for the specific service in question.
11. Disclaimer of Warranties
All services are provided on an “as-is” basis. ThinkSuite does not guarantee specific business results, rankings, leads, or revenue.
12. Termination
ThinkSuite reserves the right to suspend or terminate services in case of violation of these Terms, non-payment, or unethical practices.
13. Force Majeure
ThinkSuite shall not be held responsible for delays or failures caused by circumstances beyond reasonable control including natural disasters, government actions, or technical outages.
14. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of Indian courts.
15. Changes to Terms
ThinkSuite reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of the revised Terms.
